Terms of Service

1. Definitions, Eligibility, and Authority

• "Customer", "You", "Your" refers to the entity executing the Order Form. You represent that you have full authority to bind your organization to these Terms.
• "Service" refers to the Pravyon software platform.

2. Account Administration and Authorized Users

You are responsible for the actions of your authorized users. You must provide accurate corporate information and safeguard account credentials.

3. Acceptable Use and Customer Responsibilities

You agree not to use the Service for any unlawful purpose, to transmit malicious code, or to interfere with the integrity of the Service. You are solely responsible for the accuracy and legality of the data you input.

4. Subscription, Trial, and Fees

• Trial Period: We offer a 3-month free trial. At the end of the trial, you will not be automatically charged. To continue using the Service, you must explicitly select a paid Monthly or Annual subscription.
• Fees and Taxes: Subscriptions are billed as outlined in your Order Form. You are responsible for any applicable taxes.
• Payment: Fees must be paid according to the agreed payment terms.

5. Cancellation, Renewal, and Refunds

• Customer Cancellation: You may cancel your subscription at any time without a cancellation penalty. Cancellation does not create a prorated refund. Amounts already paid are non-refundable, except where required by applicable law. Access ordinarily continues through the end of the paid subscription period.
• Renewal: Subscriptions renew as per the agreed terms unless canceled.

6. Suspension and Termination

• Natural Expiry: Access ends when the paid or trial period expires unless renewed.
• Termination for Cause: Pravyon may suspend or terminate your access immediately, upon reasonable notice where commercially reasonable, for material breach, unlawful use, non-payment, or security threats.
• Effects of Termination: Upon termination, your right to use the Service ends.

7. Customer Data and Retention

• Customer Data Ownership: You retain all ownership and control of the business data you enter into Pravyon. You grant Pravyon the right to host, process, transmit, and back up that data to provide the Service.
• Post-Expiry Retention: Following the actual expiration of your subscription/access, Pravyon retains your data for a 90-day period. During this time, you may request data export. If fulfilling the request requires manual/special work beyond normal functionality, we will disclose a reasonable service fee beforehand.
• Data Deletion: After the 90-day period, data may be deleted or anonymized subject to legal obligations, security requirements, and backup limitations. Residual copies may remain temporarily in backups, logs, disaster-recovery systems, or other residual storage according to legitimate operational, security, and legal retention processes.

8. Customer Transactions and Tax Functionality

Pravyon is a software platform facilitating CRM, invoicing, and payment record-keeping.

• Transactions: Transactions between you and your customers are your sole responsibility. We are not responsible for customer disputes, payment failures, or refunds between you and your clients.
• Tax/Accounting: Pravyon provides tax calculation features based on your configuration. You remain solely responsible for configuring taxes, reviewing calculations, accounting treatment, and statutory filings. Pravyon is not your accountant or tax adviser.

9. Pravyon Intellectual Property, Feedback, and Confidentiality

Pravyon retains all intellectual property rights in the Service. Any feedback you provide may be used by Pravyon without obligation. Both parties agree to maintain the confidentiality of any proprietary information shared during the term of this Agreement.

10. Availability, Maintenance, and Support

Pravyon aims to maintain Service availability but does NOT promise uninterrupted, error-free service, or a specific uptime percentage (unless separately agreed in writing). The Service may be subject to interruptions due to maintenance, updates, or third-party failures.

11. Third-Party Integrations

You may connect third-party services to Pravyon. These services have their own terms. Pravyon is not responsible for outages or changes in third-party APIs outside our reasonable control.

12. Warranty Disclaimers and Limitation of Liability

Disclaimer: The Service is provided "as is". Pravyon disclaims all warranties, express or implied, including merchantability or fitness for a particular purpose.

Limitation of Liability: To the maximum extent permitted by law, Pravyon shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits or data.

13. Indemnification

You agree to indemnify and hold harmless Pravyon against any claims arising from your unlawful use of the Service or your violation of third-party rights.

14. Force Majeure

Neither party is liable for delays or failures in performance resulting from causes beyond their reasonable control.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat, India.

16. General Provisions

• Notices: Notices will be sent to the email provided in the Order Form.
• Assignment: You may not assign this agreement without our consent.
• Severability & Waiver: If any provision is found unenforceable, the remainder remains in effect. Failure to enforce a right is not a waiver.
• Entire Agreement & Amendments: These Terms and the Order Form constitute the entire agreement. We may update these Terms periodically; continued use constitutes acceptance.
